he had a new formula for BERENSON. He suggested ube a2 stock

RERENSON adviscd that shortly after the ngreement
- was signed he instructcd his accountant, HERBERT. MAXWELL, _to
send to Goodwin, Rosconbaum and Meacham as down peyment

ayment as a legal fee, BERENSON advised that sometime
during 1958 (he covld not reeall the exact date) it was brought
to his attention that the ugrcement was not actually an agreement
to pay legal fees over 1 fivesycar poriod but was definitely an
agreement to purchase the shares of stock from DUDLEY.
He thercupon went to washington, D. C. to see ROSENBAUM
7 sbout the January 7, 1946 cercemcnt. He complained to ROSENBAUM
that this crreemunt was not an arrangement for legal fees and
requested ROSENB..UM to chan: the agreement. He stated that when
he contacted ROSENBLUM reupgording this mitter, DUDLEY was also
there, and he thinks that C; SY was also presont. They discussed
ways of straightening out the mattor.
