transfer. No mortgages existed on either vessel at the time
of the contract sale date.
In the Contract of Sale, the buyer agreed to take
delivery of title to the vessels although either or both of
them were. damaged or in need of repair at closing time as long
as the damage to either of the vessels did net constitute an
actual or constructive total loss. The buyer further agreed
to pay any sales tax and also warranted, "That he is and will
be a United States citizen as defined in Section 2 of the
Shipping Act of 1916 as amended."
The Contract of Sale also set forth that the seller
sold, assigned, and transferred all of his rights to the
Compagnie Francaise de Raffinage of Paris cherter to the
buyer. The buyer also agreed to perform the charter. The
risk involved by the buyer in assuming the charter was pre-
viously set forth.
This Cont~ect of Sale was signed by “Mr- FALLON as
Vice~President of Urion Suliur Company, Incorporated, and
R. L. BERENSON as Pr:sident of Pacific Tankers, Incorporated.
In-addition, R. L. BE.FKSON signed as Presiden; of USPC and
guaranteed the performance of the contract by Pacific Tankers,
_Incorporatod. a . _
A brokerage fee of $1.3, 537.50, representing a two
and one-half per cent comnission, was paid on August 3, 1949,
by Union Sulfur Company, Incorporated, to SSY.
